Welcome to Zaiwave. These Terms form a binding agreement between you and Vdistri Solutions (“Zaiwave”, “we”, “us”). By using our website, apps, or services (collectively, the “Service”), you agree to these Terms.

1) Service overview

Zaiwave provides tools to repurpose content with AI, schedule or publish to connected social accounts, and view analytics. Some features may be in beta.

Our Service relies on third-party social platforms (e.g., Meta, LinkedIn, X, TikTok). Their terms and policies also apply to your use and may affect functionality. See section 8.

2) Eligibility & accounts

• You must be 18+ and able to form a contract.
• Keep your account details secure; you are responsible for activity on your account.
• We may refuse, suspend, or terminate accounts to keep the platform safe.

3) Connected accounts & permissions

To publish on your behalf, you connect social accounts via the platforms’ OAuth flows. We receive tokens/permissions, not your passwords. You can revoke access at any time from the platforms or inside Zaiwave.

We only act on your instructions (e.g., publish schedules). For most social-content data we act as your processor and you remain the controller. :contentReference[oaicite:1]1

4) Your content & license to us

You retain ownership of the content you upload or generate. You grant Zaiwave a worldwide, non-exclusive, royalty-free license to host, process, transcode, analyze, and publish your content solely to provide the Service (including backups, debugging, AI transformations, and generating previews).

You are responsible for having rights to the content you use and for complying with the platforms’ policies.

5) Acceptable use

Do not use the Service to:

• Violate laws or third-party rights (IP, privacy, publicity, etc.).
• Harass, incite violence, or post hateful, illegal, or harmful content.
• Spam or mislead audiences.
• Attempt to access data or systems without authorization, or to circumvent platform rate limits.

We may remove content or suspend accounts that breach these rules or third-party API terms.

6) Scheduling, delivery & analytics

• We aim for reliable scheduling and cross-posting but cannot guarantee delivery when platforms change APIs, rate-limit, or experience outages.
• Analytics are provided “as-is” and may differ from numbers shown by the platforms.
• Any uptime or SLA commitments of larger providers are illustrative only and do not apply to Zaiwave unless expressly agreed in writing. :contentReference[oaicite:2]2

7) Plans, billing & refunds

If you purchase a plan:

• Fees, billing cycles, and taxes are shown at checkout.
• Subscriptions renew automatically until canceled in your account settings.
• Except where required by law, fees are non-refundable once a cycle starts.
• Trials and promotional offers may change or end at any time.

Payment processing is handled by a PCI-compliant provider; we don’t store full card numbers.

8) Third-party platforms & services

Your use of connected platforms is governed by their terms and privacy policies. Zaiwave is not responsible for changes to third-party platforms that affect features or availability. (Major providers make their own terms and privacy commitments public.) :contentReference[oaicite:3]3

9) Intellectual property

The Service (software, UI, docs, and trademarks) is Zaiwave’s property. You may not reverse engineer, copy, or create derivatives except as allowed by law.

10) Confidentiality

Non-public information we exchange (e.g., tokens, unpublished content, business plans) must be kept confidential and used only to deliver or receive the Service.

12) Warranties & Disclaimer

The Service is provided “as is” without warranties of any kind. We disclaim implied warranties (merchantability, fitness, non-infringement) to the fullest extent permitted by law.

13) Limitation of liability

To the maximum extent permitted by law:

• Zaiwave will not be liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, revenue, data, or goodwill.
• Our total liability for claims arising out of or relating to the Service will not exceed the amounts you paid to us in the 12 months before the claim.

14) Term & termination

You may stop using the Service at any time. We may suspend or terminate for breach, risk, or inactivity. After termination:

• Publishing stops and tokens are revoked.
• We may retain minimal records for legal, billing, or security purposes as described in /privacy.

15) Data deletion & portability

You can delete scheduled items and drafts in the app. You can disconnect social accounts and revoke tokens. On request, we’ll export reasonable account-level data where technically feasible.

16) Governing law

Unless a separate written agreement states otherwise, these Terms are governed by the laws of Morocco, and disputes will be handled by the courts of Casablanca, Morocco.

17) Changes

We may update these Terms to reflect changes in the Service or law. We’ll post the new version with an updated date. Material changes take effect no sooner than 7 days after notice unless required sooner by law.
